Terms of engagement
Terms governing manufacturing variance audit engagements with Smartappsolution in Hong Kong.
These Terms apply to manufacturing variance audit services provided by Smartappsolution (“we”, “us”) to clients (“you”) who engage us via smartappsolution.digital or our Kwun Tong office.
Acceptance
By confirming an engagement letter, paying a deposit, or otherwise instructing us to begin work, you accept these Terms. If you do not agree, do not commission an audit.
Services
We provide professional manufacturing variance audit and related review services as described in your engagement letter. Scope, deliverables, timeline, and fees are defined in that letter. Website descriptions are informational and do not override a signed engagement letter.
Client responsibilities
You provide timely access to plants, documents, and knowledgeable staff. Delays in access or incomplete evidence may extend timelines and may require a revised fee, agreed in writing.
Intellectual property
Working papers remain our property. The final report and agreed appendices are licensed to you for internal business use, including circulation to your board, auditors, and lenders. You may not resell our reports or present them as your own authorship.
Confidentiality
We treat plant data, costing methods, and findings as confidential, except where disclosure is required by law or authorised by you in writing.
Liability
Our aggregate liability arising from an engagement is limited to the fees paid for that engagement, except where liability cannot be limited under Hong Kong law. We are not liable for indirect or consequential loss, lost profits, or decisions made solely on the basis of draft findings.
No statutory audit
Our work is not a statutory financial statement audit under Hong Kong Companies Ordinance requirements unless expressly stated in a separate engagement.
Governing law
These Terms are governed by the laws of Hong Kong Special Administrative Region. Courts of Hong Kong have exclusive jurisdiction over disputes arising from these Terms or our engagements.
Changes
We may update these Terms on this page. Engagements already confirmed remain under the Terms referenced in their engagement letter unless both parties agree otherwise.
